These terms and conditions ("Terms") govern your use of the VR Enterprise website and the purchase of products from VR Enterprise ("we," "our," or "us"). By accessing our website or placing an order with us, you agree to be bound by these Terms.
In these Terms:
3.1. All Orders are subject to acceptance by us. We reserve the right to refuse any Order without giving reasons.
3.2. Prices for Products are as quoted on our website or in our current price list. We reserve the right to change prices at any time without notice.
3.3. All prices are exclusive of applicable taxes unless otherwise stated. Taxes will be added at the current rate at the time of invoicing.
3.4. Minimum order quantities may apply to certain Products. We will inform you if your Order does not meet these requirements.
4.1. Payment terms are as specified in our invoice or as agreed in writing. Unless otherwise agreed, payment is due in full before dispatch of Products.
4.2. For approved account customers, payment is due within 30 days from the date of invoice unless otherwise agreed in writing.
4.3. If you fail to make payment by the due date, we reserve the right to charge interest on the overdue amount at the rate of 18% per annum.
5.1. Delivery times are estimates only and not guaranteed. We shall not be liable for any delay in delivery.
5.2. Risk in the Products passes to you upon delivery. Title to the Products remains with us until payment is received in full.
5.3. You must inspect the Products upon delivery and notify us of any defects or discrepancies within 48 hours of delivery.
6.1. We reserve the right to make changes to Product specifications without notice, provided such changes do not materially affect the performance or quality of the Products.
6.2. Product images on our website are for illustrative purposes only. The actual Products may vary slightly from these images.
7.1. We warrant that the Products will be free from defects in materials and workmanship for a period of 12 months from the date of delivery.
7.2. Our liability for any defective Products is limited to repair, replacement, or refund of the purchase price, at our option.
7.3. We shall not be liable for any indirect, at our option.
7.3. We shall not be liable for any indirect, consequential, or special damages arising out of or in connection with the supply of Products, whether based on contract, tort, or any other legal theory.
7.4. Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
8.1. All intellectual property rights in the Products and our website, including but not limited to patents, trademarks, and copyright, are owned by or licensed to us.
8.2. You may not copy, reproduce, modify, distribute, or use our intellectual property without our prior written consent.
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to natural disasters, pandemics, governmental actions, war, or civil unrest.
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, India.
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our website or purchase of Products after such changes constitutes your acceptance of the modified Terms.
